      Before participating in this bidding, the bidder must sign an asset purchase agreement with the original mining right holder in the area and purchase the fixed assets according to the assessed value. Once this process is complete, the mining right is successfully listed for transfer, ensuring that the legitimate rights and interests of Company A—the original mining right holder—are effectively protected.

      Understanding "Net Mine" Transfer

      The concept of "net mine" transfer ensures that all relevant issues in the early stages of the mining right transfer are addressed. This means that:

      • The bidder is no longer restricted by land rights, ground attachments, or fixed assets.
      • The new holder can enter the site smoothly for French Pattern Sandstone Pavers construction.

      The "Opinions of the Ministry of Natural Resources on Several Matters Concerning Promoting the Reform of Mineral Resources Management (for Trial Implementation)" (Natural Resources Regulations [2019] No. 7) mandates the development of "net mine" transfers for sand, gravel, and soil, as well as the broader transfer of mining rights. This reform aims to:

      1. Strengthen preparatory work for mining rights transfers.
      2. Optimize the transfer process.
      3. Improve service efficiency.

      Fixed Asset Disposal in Mining Right Transfers

      When a mining right expires or is lost for other reasons, and the Mineral Resources Management Department reassigns it via bidding, auction, or listing, the fixed assets formed by the original mining right holder must be disposed of together. This aligns with the "net mine" transfer concept.

      For instance, the "Work Plan for the Reform of the Mining Rights Assignment System in Hubei Province" stipulates:

      • The net residual value of fixed assets (real estate only) left behind after the original mining right transfer is determined by the local county-level government.
      • A qualified third-party assessment agency assesses the residual value.
      • The assessed net residual value is included in the transfer announcement.
      • The bidder must compensate for the fixed assets based on the assessment.
